ABC Music Studio Terms of Use

The agreement between you and ICM Labs LLC for using ABC Music Studio.

These Terms of Use (“Terms”) form an agreement between you and ICM Labs LLC (“we”, “us”, “our”) regarding your use of the ABC Music Studio mobile and desktop application (the “App”). By downloading, installing, or using the App, you agree to be bound by these Terms.

ABC Music Studio is licensed, not sold, to you. The App is licensed under the Apple Licensed Application End User License Agreement (“Apple Standard EULA”), available at apple.com/legal/internet-services/itunes/dev/stdeula/, as supplemented by the additional terms below.

License

We grant you a personal, limited, non-exclusive, non-transferable license to install and use ABC Music Studio on devices you own or control, in accordance with the Apple Standard EULA and these Terms.

Subscription, free trial, and payments

ABC Music Studio offers an auto-renewing subscription:

• Free trial: Your subscription begins with a one-week free trial. You will not be charged during the trial period.
• Subscription price: After the trial, the subscription renews at $1.99 per month (or the equivalent in your local currency, as displayed in the App Store at the time of purchase).
• Auto-renewal: Subscriptions automatically renew each month unless cancelled at least 24 hours before the end of the current period.
• Managing your subscription: All purchases and renewals are handled by Apple through your App Store account. You can manage or cancel your subscription at any time in Settings → [your name] → Subscriptions on your device.
• Refunds: Refunds are issued by Apple, not by ICM Labs. You can request a refund at reportaproblem.apple.com.

Prices are subject to change. We will notify you in advance of any price increase, and you may cancel before the change takes effect.

Acceptable use

You agree not to:

• Reverse engineer, decompile, or disassemble the App, except to the extent that applicable law expressly permits;
• Use the App to violate any law, infringe anyone’s intellectual property rights, or distribute malicious code;
• Resell, redistribute, or commercially exploit access to the App.

Your content

The music notation, files, and other content you create with ABC Music Studio (“Your Content”) belongs to you. ICM Labs claims no ownership over Your Content. We do not store, transmit, or otherwise access Your Content; it is stored locally on your device.

Intellectual property

ABC Music Studio, its source code, design, branding, and all related materials are the property of ICM Labs LLC and are protected by copyright, trademark, and other laws. Nothing in these Terms transfers ownership to you.

Disclaimers

ABC Music Studio is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the App will be uninterrupted, error-free, or that defects will be corrected.

Limitation of liability

To the fullest extent permitted by law, ICM Labs LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or use, arising out of or related to your use of the App. Our total liability for any claim arising out of or related to these Terms or the App will not exceed the amount you paid to us through the App in the twelve months preceding the claim.

Termination

You may stop using the App and cancel your subscription at any time. We may suspend or terminate your access to the App if you materially breach these Terms.

Changes to these Terms

We may revise these Terms from time to time. If we make material changes, we will update the effective date above and post the revised Terms at this URL. Continued use of the App after a change indicates acceptance of the updated Terms.

Governing law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of laws principles. Any dispute arising out of or related to these Terms or the App will be resolved in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts.
